Notice to Proceed means a Purchase Notice duly accepted and countersigned by the Bank.
Offer Notice means a notice substantially in the form set out in Schedule 5 (Form of Offer Notice).
Pledge of Movable Property Agreement means the agreement pursuant to which the Buyer creates in favour of the Bank a first ranking pledge of the movable property belonging to the Buyer.
Purchase Agent means the Buyer as agent of the Bank appointed pursuant to clause 4.1 (Appointment of Buyer as Agent).
Purchase Contract means the contract/contracts with Suppliers for the purchase of the Goods.
Purchase Notice means a notice substantially in the form set out in Schedule 4 (Form of Purchase Notice).
Repayment Date means, for each shipment and each Murabaha Contract, the date upon which a payment of the Sale Price is due from the Buyer, which shall be the final day of each Repayment Period.
Repayment Period means, for each shipment and each Murabaha Contract, the period from the Settlement Date of that Murabaha Contract until the date falling three months thereafter and each subsequent [three] month period provided that the final Repayment Period shall end on the Final Repayment Date.
Repayment Term means, in relation to a Murabaha Contract, the period from the Settlement Date of that Murabaha Contract to the Final Repayment Date.
Repeating Representations means the representations set out in Clause 11 (Representations and Warranties).
Restricted Party means a person that is:

1. 
   listed on, or owned or controlled by a person listed on, or acting on behalf of a person listed on, any Sanctions List;
   

7. 
   located in, incorporated under the laws of, or owned or (directly or indirectly) controlled by, or acting on behalf of, a person located in or organized under the laws of a country or territory that is the target of country-wide or territory-wide Sanctions; or
   
8. 
   otherwise a target of Sanctions (target of Sanctions signifying a person with whom a US person or other national of a Sanctions Authority would be prohibited or restricted by law from engaging in trade, business or other activities).
