Mark-up Instalment means, in relation to a Murabaha Contract:

1. 
   in relation to the first Repayment Period in respect of that Murabaha Contract, an amount equal to the Shipment Price of that Murabaha Contract multiplied by the Mark-upmultiplied further by the number of days in that Repayment Period and divided by 360; and
   
2. 
   in relation to any other Repayment Period in respect of that Murabaha Contract, an amount equal to the Shipment Price component of the Sale Price of that Murabaha Contract expected to be outstanding as at the first day of that Repayment Period (taking into account any payment of the Shipment Price component of the Sale Price in accordance with the payment schedule set out in the relevant Acceptance Notice) as determined by the Bank multiplied by the Mark-up andmultiplied further by the number of days in that Repayment Period and divided by 360.
   

Material Adverse Effect means, in the reasonable opinion of the Bank, a material adverse effect on:

1. 
   the business, operations, property, condition (financial or otherwise) or prospects of the Buyer; or
   

5. 
   the ability of the Buyer to perform any of its obligations under the Transaction Documents or any Purchase Contract; or
   
6. 
   the validity or enforceability of, or the effectiveness of, the Transaction Documents or any Purchase Contract.
   

Mortgage Agreement means the agreement pursuant to which the Buyer creates in favour of the Bank a first ranking pledge of the immovable property belonging to the Buyer.
Murabaha means an Islamically acceptable mode of sale where a seller buys goods at cost and sells the same to a buyer at a cost plus profit.
Murabaha Contract means a sale transaction between the Bank and the Buyer to be concluded by an exchange of faxes/telexes as soon as the Buyer has completed the purchase of any Goods on behalf of the Bank. The said exchange will consist of an Offer Notice from the Buyer and an Acceptance Notice from the Bank.
