Invest finance bank

THIS MURABAHA FACILITY AGREEMENT (the Agreement) is dated January XX, 2022 and made
BETWEEN:

1. 
   JOINT-STOCK COMMERCIAL BANK “INVEST FINANCE BANK” WITH FOREIGN CAPITAL a bank in the form of a joint-stock company, incorporated and registered under the laws of the Republic of Uzbekistan with registration number 75 under the State Book on the Registration of Banks having its registered address at Taras Shevchenko Street 1, Tashkent, 100029, Uzbekistan (hereinafter referred to as the Bank, acting as an agent for and on behalf of the Islamic Corporation for the Development of the Private Sector having its headquarters in Jeddah, 8111 King Khaled Street, Al-Nuzlah Al Yamania District, P.O. Box 54069, Jeddah 21514, Kingdom of Saudi Arabia (ICD)); and
   
2. 
   [NAME OF END CLIENT] (hereinafter referred to as the Buyer).
   

RECITALS:

1. 
   The Buyer wishes to deal with the Bank for the purpose of financing, from time to time, the purchase of Goods (as defined below) from Suppliers.
   
2. 
   The Buyer wishes to request the Bank to purchase Goods from Suppliers and sell them to the Buyer through a Murabaha arrangement and the Bank is willing to make such purchases and to sell such Goods to the Buyer on the terms and subject to the conditions set out herein.

      Definitions
      

In this Agreement:
Acceptance Notice means a notice substantially in the form set out in Schedule 6 (Form of Acceptance Notice).
Administrative Fee means USD XXXXXX.
Agency Effective Date has the meaning given to it in Clause 4.1(c) (Appointment of Buyer as Agent).
Approved Amount means the amount of up to USD 1,500,000 (US Dollars One Million Five Hundred Thousand).
