En droit européen la 4ème Directive sur les Sociétés adopte une classification à partir des actifs nets, du chiffre d’affaires net et du nombre d’employés


Le système de la Société avec Censeur statutaire diffère du système allemand dans lequel les actionnaires nomment les membres du Conseil de Surveillance lequel désigne les administrateurs.
