General Terms and Conditions for the Use of Software and Services
1.
Content of the Agreement
DIgSILENT GmbH (hereinafter called DIgSILENT) will maintain and provide technical support for the
DIgSILENT
Software (hereinafter referred to as "Software") listed in the license description and installed under the specified
operation system under the conditions set out below.
For the
purpose of this Agreement, operating systems are defined as the operating software of the computer
installation and any system utilities and programs, database systems and system components supplied by others
in their entirety (hereinafter referred to as "Operating System (OS)" as required
for proper execution of the
Software.
Maintenance is limited to the Software installed on a computer system and under an Operating System as defined
in the license description. In the event of multiple use of a software product, be it on several computer systems or
under
several Operating Systems, a special agreement has to be entered into for such extended use, if not
otherwise stated in the License Agreement.
2.
Subject and Scope of Maintenance Services
2.1
Standard Maintenance and Technical Support
In consideration of the payment of the general maintenance fee as set out in Clause 7.1, DIgSILENT grants the
Licensee the right to the following standard maintenance and technical support services:
a)
During the period of the Maintenance Agreement, all Software improvements and extensions resulting
from general program development will be supplied at no cost for the modules currently installed as
specified in the license description. This includes also delivery free of charge
of updated versions of the
Software forming the subject of this Maintenance Agreement, which is normally done on an annual basis.
b)
The provision of new or amendment of existing documents in connection with services rendered under
Subclause 2.1a).
c)
Debugging the Software and correction of errors in the documentation of which DIgSILENT is informed
in writing by the Licensee under the terms of Clause 3.1, and which nullify or substantially reduce the
value or utility of the software, under the provision that such services are not excluded under the terms
of Clause 4.
d)
Advisory service by properly trained staff in all problems concerning execution and application of the
software, including passing on of experience in program execution and application from all other users,
where permissible, for the Licensee's adequately-trained staff.
e)
Implementation of specific requirements of the Licensee as long as these are of
general interest also for
other users and could therefore be considered as a general Software improvement.
