10. ARBITRATION 
 
10.1. Both Parties will employ all necessary efforts in order 
to solve all misunderstandings according to this contract on 
the basis of negotiation. 
10.2. Any disputes or disagreements, arising from or in 
connection with this contract including its interpretation, 
termination or invalidity, that cannot be settled through 
negotiations between the Parties, are to be resolved in the 
International Commercial Arbitration Court at the Chamber 
of Commerce of the Russian Federation in Moscow city 
according to this Court’s Rules, the decision of which is final 
and binding upon both Parties.
10.3. Parties also agree to apply the law of the Russian 
Federation for solution of their disputes arising out of this 
Contract or its subject. 
10.4. All documents and messages forwarded by any means 
of communication (written, email or other means of 
communication) have legal force. 
 
 
 
11. FORCE-MAJEURE 
11.1. Parties are not liable for non-fulfillment or improper 
fulfillment of their obligations under the terms of this 
Contract if such non-fulfillment was caused by force-majeure 
circumstances (flood, fire, earthquake, and other natural 
disasters, war and military operations, blockade, embargo, 
restriction of export or import) aroused after signing this 
Contract. 
11.2. If the circumstances stipulated in clause 11.1 hereof 
occur, each Party must make written notice to the other Party 
immediately. The notice must contain details of 
circumstances’ nature and all official documents confirming 
the existence of such circumstances and (if possible) 
estimating their influence upon the fulfillment of obligations 
by the Parties within this Contract. 
11.3. If the circumstances stipulated in clause 11.1 hereof 
occur, the term of fulfillment of obligations within this 
Contract should be postponed pro rata the period of such 
circumstances and their consequences are being in force. 
11.4. In case the circumstances and their consequences 
stipulated in clause 11.1., hereof are being in force for more 
than one month, the Parties should negotiate to determine 
another acceptable way of executing obligations within this 
Contract.

обстоятельств, 
предусмотренных в пункте 11.1. настоящего Контракта, 
срок выполнения Стороной обязательств по настоящему 
Контракту отодвигается соразмерно времени, в течение 
которого действуют эти обстоятельства и их последствия. 
11.4. Если наступившие обстоятельства, указанные в п. 
11.1. продолжают действовать более 1 (одного) месяца, 
Стороны проводят дополнительные переговоры для 
выявления приемлемых альтернативных способов 
исполнения настоящего Контракта.
