Invest finance bank

Availability Period means the period commencing on the date the Bank gives the notification referred to in Clause 3.1(b) (Conditions precedent documents) and ending on the earlier to occur of:

1. 
   the date falling 180 days thereafter (unless extended in writing by the ICD); and
   
2. 
   the last day of the Implementation Period.
   

Banking Day means a day (other than a Friday, Saturday or Sunday) on which banks are generally open for business in Jeddah and Tashkent and, if such day is a day on which a payment is due to be made, New York.
Central Bank means the Central Bank of the Republic of Uzbekistan.
Charter means the Buyer's founding act, articles of incorporation and by-laws, memorandum and articles of association, statute or similar instrument.
Contribution Notice means a notice from the Bank to ICD under the Line of Finance Agreement transmitting one or more Disbursement Requests submitted by the Buyer to the Bank in accordance with the terms of this Agreement.
Contributions means each amount paid by ICD, pursuant to a Contribution Notice, into the Line Account for the purposes of financing the acquisition of Goods from Suppliers in accordance with the terms of this Agreement.
Default means:

1. 
   an Event of Default; or
   

3. 
   an event or circumstance which would be (with the expiry of a grace period, the giving of notice, or the making of any determination or any combination of them) an Event of Default.
   

Disbursement Receipt means a document evidencing the receipt of funds to be issued by the Buyer, through the Bank, to ICD substantially in the form attached hereto as Schedule 8 (Form of Disbursement Receipt).
Disbursement Request means a request for full or partial disbursement of the Approved Amount to be submitted by the Buyer to the Bank and substantially in the form of Schedule 3 (Form of Disbursement Request).
