Section-22 COMPLIANCE
The Company shall not engage itself or through any person acting on its behalf, in any Sanctionable Practices or Other Sanctionable Practice in connection with its business and operations, including the procurement or the execution of any contract relating to this Agreement. Any such engagement shall give right to ITFC to immediately terminate the Agreement as per Section 15 of this Agreement.


Section-23 MISCELLANEOUS

1. 
   The headings in this Agreement are for convenience only and are not intended, and shall not be construed, to alter, limit, or enlarge in any way the scope or meaning of the language contained in this Agreement.
   
2. 
   The Recitals and the Appendices form an integral part of this Agreement.
   
3. 
   The person signing this Agreement on behalf of each Party hereby represents and warrants to the other Party that he or she has the requisite legal power and authority to execute this Agreement on behalf of the Party and bind the Party to the obligations herein.
   
4. 
   This Agreement binds and benefits the respective successors and assignees of the Parties, provided that the Company shall not assign this Agreement in whole or in part without the prior written consent of ITFC, and such consent shall not be unreasonably withheld unless it prejudiced the rights and interest of ITFC.
   
5. 
   This Agreement may be executed in several counterparts, each of which is an original, but all of which constitute the same agreement.
   
6. 
   The date of this Agreement shall, for all purposes of this Agreement, be that appearing in the Preamble hereto.
