Section‑10 DENOMINATION OF THE SALE PRICE
Each Sale Price shall be denominated in US Dollar.

Section‑11 PAYMENT BY THE COMPANY OF THE SALE PRICE

1. 
   The Company shall pay to ITFC the full Sale Price up to 12 (Twelve) months, i.e. 360 days, from the date of each disbursement either in bullet or by instalment (payment interval not less than three months).
   
2. 
   Any disbursement below USD 100.000,00 (one hundred thousand) shall be paid in bullet.
   
3. 
   If any payment becomes due on a day on which the banks are not officially open for business in the place where payment is to be effected by the Company in the currency concerned, such payment shall be made on the next following day on which such banks are open for business.
   
4. 
   If the Company fails to pay any amount payable hereunder when it is due in accordance with the terms of this Agreement, then in addition to paying such amount, the Company shall pay ITFC, in respect of overdue amount, a Late Payment Charge for charity purposes and any such Late Payment Charge shall be calculated and applied as follows:

   A sum determined by ITFC after applying the formula indicated below:
   

   A×B×C 360

   Where: A=unpaid amount; B= 7.4%+2%=8.4%; C=the number of days from and including such due date to, and, including the date of actual payment (whether before or after judgment).

2. 
   All reasonable costs and expenses (including, without limitation, any legal, or collecting agent’s costs and expenses) incurred by ITFC as a result of delay in payment to ITFC.
