KOCH INDUSTRIES AND THE DEATH OF
COMMAND-AND-CONTROL MANAGEMENT

Koch Industries has grown from a small firm to one of the largest private corporations in the
world as a result of its system of ‘market-based management.’ The CEO, Charles Koch,
defines all corporate functions in terms of market equivalents.
The corporation can be thought of as a social system that must accomplish transformation
as well as reformation in its processes (Ackoff, 1998) if it is to survive and prosper. Market-
based management focuses on the form of organization and knowledge as a way of managing
that adopts free enterprise principles, as outlined by Gable (1998), requiring: market-
process analysis; comparative advantage; just conduct; property rights; market incentives;
free flow of ideas; and a price system.
This ‘internal’ perspective deals with the operation of the system. To ensure that the system
is adaptive requires that it is open, i.e. that it appreciates its environment, including the
network of relationships within which it operates.

Koch Industries managers have gone beyond the familiar notion of corporate culture to
build an operating philosophy and set of values that heavily influence the way they do
business. They call this system Market-Based Management, ® or MBM.® This alternative to
traditional command-and-control thinking is the creation of Charles Koch. He, along with
others, developed this management philosophy based on market-process economics, the
philosophies of science and knowledge, and many years of practical business experience.
MBM is much more than a set of management tools. It involves a vision of our rapidly
changing world, a set of core commitments, and an aim to enhance the potential of each
employee. MBM stands against the traditional command-and-control approach to corporate
governance, with its command hierarchy and incentive systems designed to ensure that
orders are followed and the hierarchy preserved. MBM promotes, by contrast, a spontaneous
order of employee-entrepreneurs. These individuals work within a framework of appropriate
incentives and decision rights, and create value for customers by applying powerful
knowledge systems.
People at Koch Industries believe that MBM improves company performance by helping
people to realize their potential. In essence, MBM helps employees act like owners.
Where and how we look determines what we see. What we see determines what we
think and how we act. Our vision either limits or enlarges our potential. The revision of Koch
Industries from a commodities company to an operating, processing, purchasing, selling,
and trading company is one example. Similarly, when individuals see their jobs as creating
value rather than following instruction, and as satisfying customers rather than the boss, they
begin to act and feel like entrepreneurs.
Change is one of the few constants in our professional lives. People at Koch Industries
try to minimize resistance to it and reduce the hardship it can bring by emphasizing certain
core commitments:
