If one of the shareholders does not pay, the responsibility for the rest falls on the company.
Charter capital
The characteristics of the capital are specified in the charter. If the number of participants in the organization is more than one, the adoption of the charter and amendments to it is possible only by a general vote. At the request of the founders, the charter may be supplemented with the following clauses, for example: the impossibility of depositing funds in the current account in the form of property, the allowable size of the participant's share, etc.
The amount of assets of each founder. A part of the founder is expressed in the form of a percentage (50%) or a fraction (0.5) equal to the ratio of the share value to the net assets of the organization.
Factors requiring expansion of assets. Lack of funds for the operation of the company, claims of officials, participation in tenders with conditions for the authorized capital, new members.
How to expand the authorized capital
The following conditions are required to expand the authorized capital:
The registered charter capital is paid in full after registration.
The difference in the financing of net assets and authorized capital with the reserve fund should be higher than the planned level of capital increase.
At the end of the year, the amount of net assets should be higher than the authorized capital, starting from the second. Failure to comply with this condition requires a reduction in the authorized capital to a value not exceeding the value of net assets. If the amount of net assets of the organization is less than the minimum amount specified in the charter, the company is liquidated.
External use of borrowed funds by lenders. The creditor has the right to demand membership in the board of founders to guarantee the return of his money. The charter may allow him to leave the board on the condition that his funds be returned.
Contribution of a new member of the Company to the charter fund The Company may decide to increase the capital by attracting new people after the transfer of its share by one of the founders to another person.
The organization has the right to expand the charter capital at the expense of property. An adjustment for such an extension is made only on the basis of the financial statements for the previous year.
