plans to accept a revised take-
over proposal from electronic-
components maker
II-VI
Inc.
and scrap its deal to be acquired
by Lumentum Holdings Inc.
Coherent said Monday that
its board determined II-VI’s
new bid, which includes $170
in cash and 1.0981 shares for
each Coherent share, repre-
sents a superior proposal to
its deal with Lumentum.
II-VI said its $6.5 billion bid
for Coherent has the backing
of private-equity firm Bain
Capital, which plans to make a
$1.5 billion equity investment
in the combined company.
Based on Friday’s closing
prices, the II-VI bid values Co-
herent at about $251.93 a
