Apax Partners
is pitching its second digital
fund focused on midmarket
technology
companies
just
weeks after collecting $11 bil-
lion for its latest main invest-
ment pool.
London-based Apax is seek-
ing $1.5 billion for Apax Digital
II LP and expects to hold a first
close for it in May or June, ac-
cording to documents pre-
sented by the firm’s investment
adviser Hamilton Lane at a
public meeting of the Pennsyl-
vania Public School Employees’
Retirement System’s board of
trustees last week. Apax hasn’t
set a hard cap for the fund, ac-
cording to the documents.
The $64.2 billion pension
system’s trustees approved a
$175 million commitment for
Apax’s new digital fund during
the meeting.
Apax raised $1 billion for its
debut Apax Digital LP fund in
2017 and has focused its strat-
egy on minority investments
and buyouts of rapidly expand-
ing enterprise technology and
internet companies.
The Pennsylvania pension
system committed $100 million
to the initial Apax digital fund
and $31 million to two co-in-
vestments the firm sponsored.
The investments generated a
net internal rate of return of
nearly 54% and a net multiple
of 1.8 times capital invested
through Sept. 30, according to
the pension system.
By the end of September,
Apax’s debut digital fund had
completed 10 investments, the

share, while Lumentum’s offer
is worth roughly $202.05 a
share. Coherent noted that Lu-
mentum recently raised its of-
fer, which would have valued
the company at about $262 a
share based on Friday’s clos-
ing prices, but the revised bid
carries a significantly higher
termination fee.
Coherent said it has noti-
fied Lumentum that it plans to
terminate their agreement un-
less Lumentum makes a new
proposal by Thursday. Lumen-
tum said it is studying its
matching rights.
Coherent said it weighed a
revised proposal from MKS In-
struments Inc. MKS said it
was disappointed that Coher-
ent eschewed its revised offer
and that it was bowing out of
the three-way takeover battle.
