SHARING OF EXISTING TOWERS AND BASE TRANSCEIVER STATIONS ON PAKISTAN RAILWAYS NETWORK
1.0 PREAMBLE
The Ministry of Railways (MoR), Government of Pakistan is aggressively focusing on revamping Pakistan Railways (PR) operations in the country. The MoR, in line with its vision, would also like to undertake a number of real estate development projects through the use of private sector participation complementing the growth requirements of its rail transportation infrastructure.
In pursuit of the above vision, Railway Estate Development & Marketing Company (Pvt) Ltd (REDAMCO) intends to invite Request for Proposal (RFP) for Sharing of Existing Towers and base Transceiver Stations on Pakistan Railways Network. For this purpose, REDAMCO has published an advertisement in national dailies inviting interested Cellular Operator, registered with Pakistan Telecommunication Authority (PTA) for the above assignment.
REDAMCO is now pleased to issue these Request for Proposal (RFP) and Terms of Reference (TOR) documents to the interested Cellular Operator, registered with Pakistan Telecommunication Authority (PTA) for the purpose of soliciting Technical and Financial Proposals for the above assignment.
2.0 OBJECTIVE OF THE ASSIGNMENT
Pakistan Railways (PR) owns land parcels over its network throughout the country. The focus of this assignment is currently on the development of properties located within Railway Operations Divisions. A map showing extent of Railway Operations Divisions is attached as Annexure-“A” to this RFP.
Through this RFP, REDAMCO intends to invite CO registered/licensed with PTA, for sharing of existing 85 Nos Towers and BTSs being operated by different leading CO. Moreover, PR has 297 Towers and BTSs sites of its own, which too are being offered for sharing as per this RPF. Lists of such sites are Annexed “B” and “C” respectively.

INFORMATION TO CELLULAR OPERATORS
1.0 INTRODUCTION
-
The bidding procedure as given in clause 36(a) of the PPRA Rules i.e. Single stage – two envelope procedure: - Each bid shall comprise one single sealed envelope containing, separately sealed, Financial Proposal and Technical Proposal. All bids received shall be opened and evaluated in the manner prescribed in the bidding document.

Proposals must include the complete name and address of bidder’s registered national firm and the name, mailing address, and telephone number of the focal person of the firm.
-
The proposals received later than the prescribed date/time due to any reason shall not be entertained.
-
Soft copy of proposals on a CD is an essential requirement.
Technical Proposal and a Financial Proposal from interested Cellular Operator, registered with Pakistan Telecommunication Authority (PTA) named in the attached Data Sheet (referred to as “Data Sheet” hereinafter) in Section 3 of this RFP. Your proposal could form the basis for a contract agreement between the Client (REDAMCO) and your firm/ consortium.
1.2 A brief description for the need for this RFP and its objectives are given in the Data Sheet. Details are provided in the Terms of Reference (TOR) attached in this RFP.
1.3 Please note that:
-
The cost of preparing the proposal and of negotiating the contract agreement are not reimbursable as a direct cost of the assignment; and
ii) REDAMCO is not bound to accept any of the proposals submitted.
2.0 DOCUMENTS
2.1 To prepare a proposal, the COs are required to use the attached Forms/Formats provided in Section 5 of this RFP.
2.2 Firms/consortia requiring a clarification of the RFP Documents must notify REDAMCO in writing not later than ten (10) days before the proposal submission date. The written request for clarification may be delivered in person or through courier or by email or telefax and shall be sent to REDAMCO’s address indicated in the Data Sheet. REDAMCO shall respond by delivery in person or through courier or by email or telefax to such requests for clarification and copies of each response shall be sent to all Cellar Operators that have been issued the RFP Documents.
2.3 At any time before the submission of proposals, REDAMCO may for any reason, whether at its own initiative or in response to a clarification requested by CO that have been issued the RFP Documents, modify the RFP Documents by amendment. The amendment shall be sent in writing or by email, or telefax to all CO who have been issued the RFP Documents and will be binding on them. REDAMCO may at its discretion extend the deadline for the submission of proposals.
3.0 PREPARATION OF PROPOSAL

The firms/consortia are requested to submit Technical and Financial Proposals, which shall be written in English language.
TECHNICAL PROPOSAL
-
In preparing the Technical Proposal, the firms/consortia are expected to examine all terms and instructions included in the RFP Documents. Failure to provide all requested information shall be at their own risk and may result in rejection of their proposal.

The Technical Proposal shall provide the following and any additional information using the formats attached in Section 5 of this RFP:
Form T-1 A brief description of the Cellar Operator’s organization(s) and an outline supported by documents of general experience in Cellular Telecommunication and specific experience in projects of similar nature – all projects with a minimum project value of PKR 1.0 Billion. For such specific and general experience the outline should indicate, interalia, details of the project, the key staff provided, duration, project value, and CO involvement/scope.
Form T-2 The Cellular Operator understanding of the objectives of the project, their approach towards the assignment and a description of methodology that they intend to perform on the activities for completion of the assignment.
Form T-3 Any comments or suggestions on the TOR; The CO comments, if any, on the data, services and facilities to be provided by the Client (REDAMCO) and indicated in the TOR.
Form T-4 CVs recently signed by the proposed key professional staff and an authorized representative of the CO Head Office.
Form T-5 A work plan illustrated with a bar chart of activities to show the Firm’s planning to undertake the assignment.
Form T-6 A work plan and time schedule for the proposed personnel also showing the total number of person-months by each key person and other staff.
Form T-7 The composition of the proposed staff/ team and the tasks which would be assigned to each staff member and their positions.
Form T-8 Any additional information, necessary for the proposal.

The Technical Proposal must not include any financial information.
FINANCIAL PROPOSAL
-
The Financial Proposal should quote the lump sum bid for each site exclusive of all prevailing relevant taxes, etc associated with the project. Payment of all taxes, whatsoever, shall be the sole responsibility of the successful Cellular Operator. The Financial Proposal should be prepared using the format as provided in Form Fin-1 in Section 5 of this RFP.

The rates offered should be quoted separately for each Tower/BTS as per their ID numbers/Longitudes and Latitudes.

The rates offered for Tower Sharing shall be expressed in Pakistan Rupees.
4.0 SUBMISSION OF PROPOSALS
-
The firms/consortia shall submit one original Technical Proposal and one original Financial Proposal and the number of copies of each indicated in the Data Sheet. Each proposal shall be marked original or copy, as appropriate. The Technical Proposal shall be placed in a sealed envelope clearly marked “Technical Proposal for Sharing of Existing Towers and Base Transceiver Station on Pakistan Railways Network” and the Financial Proposal in another sealed envelope clearly marked “Financial Proposal for Sharing of Existing Towers and Base Transceiver Station on Pakistan Railways Network”.

The above two envelopes, in turn, shall be sealed in an outer envelope bearing the address and information of REDAMCO indicated in the Data Sheet. The envelope shall be clearly marked, “Technical & Financial Proposals for Sharing of Existing Towers and Base Transceiver Station on Pakistan Railways Network” as well as “DO NOT OPEN, EXCEPT IN PRESENCE OF THE EVALUATION COMMITTEE.”

In the event of any discrepancy between the original and the copies of the proposal, the original shall govern. The Technical and Financial Proposals shall be prepared in indelible ink and shall be signed by the authorized Firm’s/Consortium’s representative. The representative’s authorization shall be confirmed by a written power of attorney or a letter of authorization accompanying the proposals.

The Proposal shall contain no interlineations or overwriting except as necessary to correct errors made by the firms/consortia themselves. Any such corrections shall be initialed by the person or persons signing the proposal.

The completed Technical and Financial Proposals shall be delivered on or before the time and date stated in the Data Sheet. The Proposals shall be submitted at the address of REDAMCO as given in the Data Sheet.

The Proposals shall be valid for the number of days stated in the Data Sheet from the date of its submission.
5.0 PROPOSAL EVALUATION
-
A Single Stage, Two-envelope Procedure shall be adopted in selection of the proposals. The technical evaluation shall be carried out first followed by the financial evaluation as per the Evaluation Criteria.

The details of the Evaluation Procedure of Technical and Financial Proposals and the Evaluation Criteria have been specified in Section 4 of this RFP Document.
6.0 NEGOTIATIONS & AWARD OF CONTRACT
-
Based on the Evaluation of Proposals, the CO who have submitted the Best Evaluated Bid, for each of the sites shall be declared the successful bidder. The successful bidder shall be issued Letter of Acceptance containing invitation for contract negotiation. The negotiation shall be held to the extent permissible under the rules and regulations, as applicable.

The Contract Agreement shall be signed after getting the approval from the Board Of Directors of REDAMCO.
7.0 CANCELLATION OF THE BIDDING PROCESS
-
REDAMCO has a right to cancel the bidding process at any time prior to the acceptance of any bid or proposal.

REDAMCO shall incur no liability towards the CO, solely by virtue of its invoking Clause 7.1 above.

Intimation of the cancellation of the bidding process shall be given promptly to all the bidders.

REDMACO shall, upon request by any of the bidders, communicate to such bidders grounds for the cancellation of bidding process, but is not required to justify such grounds.
8.0 CONFIRMATION
8.1 The CO that have been issued this RFP Document and intend to submit their proposals, are required to inform REDAMCO in writing the following;

That the firm/consortium has received this RFP Document.

Whether or not the firm/consortium shall submit a proposal.

The name of the RFP is Sharing of Existing Towers and Base Transceiver Stations on Pakistan Railways Network. The name of the Client is Railway Estate Development & Marketing Company (Pvt) Ltd - (REDAMCO).
1.2 The objectives of the RFP are:
PR has lease out parcels of land for setting up of cellular towers and BTS to U-Fone, Mobilink and Telenor. REDAMCO is looking at development of these sites as well as those towers and BTS being operated by PR itself. One such way of doing this is by offering the existing Towers and BTS for sharing by other Cellular Companies amongst themselves.
The objective of this RFP is to share amongst themselves, the existing Towers and BTSs owned by CO and that of PR, on PR network, based on their assessed potential.
1.4 REDAMCO shall provide the following inputs: REDAMCO will provide the successful bidders all existing data and information available with REDAMCO. List of all existing Towers and BTSs owned by Cellular Companies and by PR is available on REDAMCO website.
1.5 The Documents are: Terms of Reference (TOR), Format for Technical Proposal, Format for Financial Proposal, Proposal Evaluation Criteria, and Annexes, etc.

1.0 PROPOSAL SUBMISSION PROCEDURE
A Single Stage, Two-Envelope Procedure shall be adopted for submission of Proposals. The pre-qualified firms/consortia shall be required to submit their Technical and Financial Proposals as per the formats given in Section 5 of the RFP and following the instructions contained in Information to Consultants/Firms and Data Sheet given in Sections 2 & 3 of the RFP, respectively.
2.0 PROPOSAL EVALUATION PROCEDURE
A single stage, two-envelope procedure shall be adopted in selection of the proposals. The technical evaluation shall be carried out first, followed by the financial evaluation as per the Evaluation Criteria specified in this Section of the RFP.
2.1 EVALUATION OF TECHNICAL PROPOSALS
-
The Technical Proposals shall be evaluated on the basis of the Cellular Companies relevant experience, their understanding of the assignment, proposed methodology and the experience of key personnel. Only those Bidders, whose Technical Proposals secure 80% points or more shall qualify for further consideration, and shall be ranked highest to lowest on the basis of their Technical Scores. Financial Proposals of those firms/ consortia who secure less than 80% points on Technical Proposals shall be returned unopened to the Bidder.

The Total Score of the Technical and Financial Proposals shall be 100, out of which 20% weightage shall be given to the Technical Proposal and remaining 80% weightage shall be allocated to the Financial Proposal.
2.2 OPENING & EVALUATION OF FINANCIAL PROPOSALS
-
The Financial Proposals of only technically qualified firms whose Technical Proposals have secured 80 or more points, shall be opened at the time, date and venue which shall be communicated to all technically qualified Bidders. Financial Proposals of Bidders, securing less than 80% points on Technical Proposals shall be returned unopened to the respective Bidders.

The Financial Proposals shall first be checked for any arithmetic errors.
TECHNICAL PROPOSAL EVALUATION CRITERIA
The Technical Proposal shall be evaluated on the basis of Bidder’s Experience, Proposed Approach & Methodology and Experience of Key Personnel. The criteria and point system for the evaluation of Technical Proposals shall be as under;
