1. SUBJECT OF THE CONTRACT 
 
1.1. The subject of present contract is sales of fruits and 
vegetables (fresh, dried, or processed otherwise), hereinafter 
referred as the Goods.
1.2. Within term of the contract the Seller is obliged to turn 
the Goods over into the Buyers property and the Buyer is 
obliged to accept and pay for accepted Goods according to 
specifications and invoices. Variety (assortment), quantity, 
price, terms of delivery and lead time of the Goods shipped 
within the terms of present contract are determined by the 
Sides during placing an order for each batch which could be 
placed via any available type of communication, and stated 
in specification attached to present contract and considered 
to be its integral part (Appendix 1) and in proforma-invoices.
1.3. The Goods are purchased for the purpose of its further 
realization in the territory of the Russian Federation.
1.4. The Seller sells the Goods to the Buyer by batches on 
terms of delivery determined in conformity with 
/INCOTERMS 2020/. Terms of delivery are stated in 
specifications and invoices.
 
 
 
 
 
2. PRICE OF THE GOODS, COST OF THE 
CONTRACT AND TERMS OF PAYMENT 
2.1. The prices for the Goods delivered under the terms of 
this Contract are stated in specifications and Invoices. 
2.2. The prices are fixed in RUB and determined according 
to delivery terms of /INCOTERMS 2020/ which stated in 
purchase order specifications and proforma-invoices, 
including the cost of packaging and marking, taxes, customs 
duties, fees and other expenses arising from fulfillment of the 
formalities levied in the Seller’s country in regard to 
execution 
of 
the 
obligations 
given 
hereof. 
2.3. The total cost of the present Contract is amount 
10 000 000 000 RUB(ten billion RUB). Total cost of the 
contract is approximate and may be changed on demand of 
the Buyer by signing an additional agreement to the contract.
2.4. Terms of payment are stated in specifications and 
invoices to present contract. Payment is considered to be 
executed after it has reached the settlement account of the 
Seller. Payment currency: RUB.
2.5. Only the quantity stated in commercial invoice is 
subject to payment.
2.6. All the expenses within the bank of the Seller and 
correspondent banks are on behalf of the Seller, All the 
expenses within the bank of the Buyer are on the behalf of 
the Buyer.
2.7. Taxes, customs duties, charges and other fees levied in 
the territory of the Seller’s country in regard to execution of

корреспондентах несет Покупатель, а в банке Продавца – 
Продавец. 
2.7. Уплата всех налогов, таможенных пошлин, сборов и 
иных отчислений, взимаемых на территории страны 
Продавца в связи с выполнением данного Контракта, 
является обязанностью Продавца и производится за его 
счет. Продавец также обязан за свой счет оформить 
указанные в п. 4.1 сертификаты и другую требуемую для 
ввоза в страну Покупателя экспортную документацию на 
Товар.
2.8. Уплата всех налогов, таможенных пошлин, сборов и 
иных отчислений, взимаемых на территории страны 
Покупателя в связи с выполнением данного Контракта, 
является обязанностью Покупателя, если это не 
противоречит выбранным Сторонами условиям поставки 
Товара (ИНКОТЕРМС 2020) в рамках настоящего 
Контракта.
2.9. В случае простоя транспорта, и/или задержки в 
выполнении таможенных формальностей на территории 
страны конечной доставки по вине Продавца и/или в 
следствие нарушения Продавцом данного Контракта, 
Продавец возмещает Покупателю все понесенные в связи 
с этим расходы.
2.10. Покупатель имеет право задержать оплату за товар, 
если 
товаросопроводительные 
документы 
не 
предоставлены, не соответствуют требованиям, которые 
предусмотрены 
действующим 
законодательством 
Российской Федерации или содержат ошибки.
