   Condition Precedent Documents
   
   1. 
      Certified copies of the constitutional documents of the Buyer.
      
   2. 
      This Agreement duly executed by all the parties hereto.
      
   3. 
      Evidence that the Security Documents have been executed and are in full force and effect and all perfection and registration requirements required under applicable law have been complied with.
      
   4. 
      Evidence that the Buyer has paid in full or will on or prior to the first Settlement Date have paid in full to the Bank or its agents the Administrative and Processing Fees and any costs and expenses then due from the Buyer pursuant to Clause 15 (Costs and Expenses).
      
   5. 
      A certified copy of a resolution of the Board of Directors or General Meeting of the Shareholders/Participants of the Buyer (as appropriate) authorising the execution and performance of the Transaction Documents or any Purchase Contract in accordance with Buyer's Charter and prevailing laws of the Republic of Uzbekistan.
      
   6. 
      A duly issued power of attorney (where applicable) authorising a person or persons on behalf of the Buyer to sign the Transaction Documents and any Purchase Contract on behalf of the Buyer, and to sign and/or despatch all documents and notices (including, if relevant, any Disbursement Request) to be signed and/or despatched by it under or in connection with the Transaction Documents.
      
   7. 
      A specimen of the signature of each person authorized by the resolution referred to in paragraph (6) above.
      
   8. 
      Legal opinions from counsel acceptable to the Bank relating to the enforceability of this Agreement and the Security Documents and the capacity and authority of the Buyer.
      
   9. 
      A copy of any other authorisation or other document, opinion or assurance which the Bank considers to be necessary or desirable in connection with the entry into and performance of the transactions contemplated by any Transaction Document or for the validity or enforceability of any Finance Document.
