CUMMINS POWER GENERATION
DEALER AGREEMENT 
This Agreement is entered into this 29th day of April, 2015, by and between 
CUMMINS DKSH (VIETNAM) LLC Co. ( 
"Distributor"), an authorized distributor of Cummins products of Cummins Inc whose mailing address is 1st Floor , E-Town I Building, 364 Cong 
Hoa St., Ward 13, Tan Binh Dist, HCM City , Vietnam, and 
[--------------------------] ( 
"Dealer"), whose mailing address is 124/2 Thuy Khue Street, 
Tay Ho District, Hanoi, Vietnam 
A.
Distributor is a Cummins — DKSH(VIETNAM) , authorized by CPG (as defined below) to promote, sell and service Products 
within a designated territory subject to the terms and conditions set forth in its agreement with CPG. Dealer acknowledges th at Distributor is 
separately incorporated with different ownership than CPG and without the authority to speak for or legally bind CPG. 
B.
Dealer's Authorized Locations (as defined below) are located in Distributor's territory and it desires to sell and/or service certain 
Products from those locations subject to the policies and procedures adopted by CPG, its affiliates and/or Distributor and made available to Dealer 
from time to time. 
C.
The purpose of this Agreement (including any schedules and exhibits attached) is to set forth the respective rights and 
obligations of Distributor and Dealer. 
In consideration of the mutual covenants contained herein, the 
parties agree as follows:
