CAMBRIDGE HEIGHTS CLUBHOUSE LICENSE AGREEMENT

Made this __________ day of _____________________, 2_____.

BETWEEN THE CAMBRIDGE HEIGHTS AT NUTLEY ASSOCIATION (hereinafter called “Association”), and ___________________________, residing at ________________________________________ and owner of a Cambridge Heights at Nutley unit (hereinafter called “Member”.)
WITNESSETH that in consideration of the mutual undertakings herein contained and other good and valuable consideration, the parties agree as follows:


  1. The Association agrees to license the use of the “Facility,” which is defined as the CLUBHOUSE of the Cambridge Heights at Nutley Association, for the purposes of hosting a party or function for non-commercial purposes, (“Function”) in accordance with the terms and conditions more particularly set forth herein for the following purposes:

  1. The Member agrees that the license of the Facility is for a four-hour time period and that no Function may go past 12 midnight.

  1. The Member (or Member’s hired help) may utilize all kitchen facilities and appliances during the Function.

  1. At the time of reservation, Member agrees to pay a $300.00 rental fee for Friday, Saturday, Sunday or $250.00 rental fee for Monday, Tuesday, Wednesday & Thursday. A $400.00 security deposit is payable at time of reservation of clubhouse. Security checks will be deposited at time of reservation and after event an inspection will determine if the entire deposit will be returned. Deposit checks will be mailed within two weeks after final inspection. All checks must be in the homeowner’s name. The homeowner must be in good standing (all financial fees must be paid in full).

  1. The Member agrees that the security deposit may be used for any damage or excessive cleanup resulting from the Member’s use of the Facility. An inspection of the Facility will be conducted prior to and following the Function by the Association’s representative and the Member: 1) to determine condition and cleanliness of Facility and its contents; Note: With the exception of basic wear and tear, clubhouse should be left in same condition as it was presented to them in. This includes decorations, garbage, etc 2) to determine if any damage exists or occurred to Facility and its contents. If damage occurred, Management will obtain an estimate from an approved Cambridge Heights at Nutley Association vendor. The security deposit, less the cost of the repairs, will be returned to the Member. If the cost of the repairs is greater than the amount of the security deposit, Management will bill the Member the amount owed. If payment is not received within thirty days, the amount owed will then be added to monthly maintenance charges and privileges will be revoked until this payment is received. If no damage occurred during Function, the security deposit will be refunded within ten (10) working days of the event.

  1. Depending on the damages incurred during the Function, the Association has the right to penalize the Member up to and including revocation of the privilege to the license use of the Facility in the future.

  1. The Association agrees to provide the Facility in clean and usable condition. Member will be advised to schedule an appointment to verify cleanliness with Association’s representative within 24 hours prior to Function; otherwise Association will be absolved of responsibility for the same. In addition, the Member will make arrangements to walk through the Facility with the Association’s representative on the day directly after the event. A walk through is to be scheduled at the time of the reservation.

  1. The Member must be present at the post-Function walk through; otherwise the entire amount of the security deposit ($400.00) will be forfeited by the Member.

  1. The Member agrees to instruct guests to abide by the rules as set forth by the Cambridge Heights at Nutley Association, and assumes all responsibility for their conduct while on the property. The Member agrees that no illegal activity, i.e. gambling, sexual misconduct, serving alcoholic beverages to minors and drug use, will be conducted in the facility during the license period. The Member shall make an effort to ensure that the activities during the license period do not disturb or interfere with the normal living conditions of the adjoining condominium residents.

  1. The Member agrees not to use Facility for the sale of goods or services.

  1. Noise must be kept within the guidelines of the Cambridge Heights at Nutley Noise Code (see attachments). Any violations or fines are the responsibility of the Member.

  1. The Association assumes no responsibility for any personal property left on the premises before or after the Function belonging to the Member, guest, or Member’s hired help.

15. The Member agrees to indemnify, defend, and hold the Association and the Association's managing agent, and their directors, trustees, officers, and employees harmless from any and all liability, cost, losses, damages, demands, actions, claims, and expenses (including, by way of example rather than limitation, reasonable attorney's fees and disbursements) sustained or incurred as a result of or in connection with the Function and the use of the Facility. This indemnification agreement includes, without limitation, personal injury and property damage. The Member also acknowledges that it is aware of all risks involved in connection with the use of the Facility and the Member assumes all risks and responsibilities for damage to the Facility. The Member specifically assumes any and all host liability in connection with the service of any alcoholic beverages and these indemnification provisions apply to such liability. "Host liability" means any liability resulting from the claim of any person or entity for damages as a result of the serving of alcoholic beverages. Such claims may include those of third parties who did not attend the Function, but who claim to have been injured by a person who attended the Function and was served an alcoholic beverage. This indemnification includes, without limitation, all costs and legal fees incurred by any of the indemnified parties in defending any matter for which any of them are indemnified hereunder.

16. The Member agrees to instruct guests and hired help to abide by the regulations set forth in the Fire Code (see attachment.) The Member agrees that no more than ____ people may be in the facility as dictated by the Fire Code.

17. The Member represents that its insurance coverage is sufficient to cover any personal injury or property damage occurring in connection with the Function, and, in no event, is the liability coverage less than $250,000.00. The Member agrees to submit to the Association a copy of the Member's homeowner’s insurance policy evidencing such coverage not less than ten (10) days prior to the date of the Function. Neither Member's failure to provide, nor the Association's failure to demand, the production of the insurance policy referred to in this paragraph shall be a waiver of any of the Association's rights or benefits under this Agreement. The failure to produce the required insurance policy shall, however, be a breach of Member's obligations and shall entitle the Association to terminate this Agreement (TWO WEEKS BEFORE THE RENTAL).
18. The Member acknowledges that this is a license agreement and does not create a landlord/tenant relationship. The Member acknowledges that the Association has the right to terminate this license agreement at any time and, in the event of such termination, the Association’s liability shall be limited to the return of any payments (if any) pursuant to this Agreement, less any damages or other costs, expenses, or losses incurred by the Association in connection with the use of the Facility. The Member acknowledges that the Association shall not be responsible for any failure or inability on the part of the Association to provide the Facility or for any interruption for any services or utilities in connection with the Facility. The Association makes no representations with respect to the Facility and its intended use. The Member mutually agrees that the license to use the Facility under this agreement is non-assignable and may not be subleased. Member must be in attendance during the entire Function period.


19. All decorations used must be fireproof materials and approved by the Association. The Member will not put any staples, tacks, etc. on the walls or ceiling of the facility. No decorations are permitted on any surface using scotch tape or a product capable of damaging wall and floor coverings and windows.

20. Under no circumstances are the fireplaces to be used. No members or guests are allowed on the third floor or on the outside balcony. Failure to follow these rules will result in automatic forfeit of security deposit.

21. Trash must be removed from building immediately following the Function and disposed of in the proper receptacles located outside and behind the Facility. Failure to remove all trash from the Facility in accordance with the terms of this Agreement may result in a forfeit of the Member’s security deposit.

22. The licensee of the Facility and signer of the contract defined herein as “Member” must be a unit owner. Tenants DO NOT qualify for purposes of entering into a license agreement with the Association for use of the Facility.

23. The Association reserves the right to terminate any license of the Facility which, in the sole judgment of the Association, is inappropriate or results in the unlawful conduct or activities of which violates the rules and regulations of the Association.

24. If the Function is primarily for children and teenagers, there must be an adequate number of adults for supervision. The adequacy of supervision shall be determined at the sole discretion of the Managing Agent and/or the Board. Managing Agent will require in advance the names, addresses and phone numbers of the supervising adults. Failure to properly supervise the children will be grounds to immediately terminate this agreement.

25. The Association, and any authorized representative of the Association, shall have the right to enter the Facility during the Function for the purpose of inspecting the Facility or the conduct of any persons utilizing the Facility.

26. This Agreement shall not be binding upon the Association until it has been executed by an authorized representative of the Association and has been delivered to the Member.

Failure to comply with items mentioned will be considered a breach of contract and penalties will be imposed as described within.
