When a self-employed partnership is no longer satisfactory or there is no longer the justification for the relationship, customers sometimes question if they can correctly end the partnership.

One of the first questions the customer asks is if the independent contractor and the corporation have a formal arrangement. If so, the customer is requested to submit it for my analysis. It is closely evaluated for any "closure" clauses. Many of the independent contracts have termination clauses which specify the terms and conditions under which either the Company or the sole trader may terminate the agreement. Strictly adhere to these independent contractual termination terms to prevent infringement in contract litigation. In addition, independent contracts also have notification clauses in which a number of days or weeks must be notified to the terminating party in order to conclude the contract lawfully. These rules should be observed strictly.

  Where the Writing Agreement is NOT:
  

If the parties fail to reach a formal agreement, so the question is: what are the terms of the oral deal between the parties? Have the parties ever discussed how the partnership could or should be ended if needed? If there is no formal agreement and no clear oral arrangement for termination of the oral arrangement, so it is best for the parties to talk about the situation and decide what is the best possible means of ending the relationship. The sole trader could fairly put a breach of an oral contract in proceedings if he has expended money on equipment and services to complete the job and the firm terminates the agreement abruptly. Companies should still hammer out negotiated terms to terminate the arrangement so that a possible dispute is avoided.
