You represent and warrant that as of the date of your purchase of any Tokens:
a.
You have a sufficient technical understanding of cryptographic tokens (including
Tokens, LUNA, ETH and BTC), proof-of-stake based protocols,
distributed
networks (including the Platform), token storage mechanisms (including your
Purchaser Wallet), and blockchain technology in general to understand these T&Cs
and to appreciate the risks and implications of purchasing Tokens;
b.
You have carefully read and understand these T&Cs (including Exhibit A which is
a part of these T&Cs);
c.
You have carefully read and examined the Litepaper and understand the purpose of
the Tokens;
d.
You have obtained sufficient information about Tokens to make an informed
decision to purchase Tokens;
e.
You understand, acknowledge and assume the restrictions and risks associated with
the purchase, holding and use of Tokens as set forth herein, including, but not
limited to, the risks explained and disclosed herein;
f.
You understand that Tokens are intended to be used only in connection with Token
Utility, and confer no rights of any form with respect to the Company, the Platform
or the owner of the Platform or their corporate affiliates, including,
but not limited
to, any ownership, voting, stock, distribution, redemption, liquidation, proprietary
(including all forms of intellectual property), or other financial or legal rights;
g.
You are purchasing Tokens solely for use in connection with Token Utility and are
not purchasing Tokens for any other purposes, including, but not limited to, any
investment, speculative or other financial purposes;
h.
You understand and acknowledge that the Company is not registered with or
licensed by any financial regulatory authority. Accordingly, no financial regulatory
authority has passed upon the contents of these T&Cs or the merits of purchasing
Tokens, nor have these T&Cs
been filed with, or reviewed by, any financial
regulatory authority;
i.
All registration information you have provided is complete and accurate;
j.
You are at least 18 years of age;
k.
Your purchase of Tokens complies with applicable laws and regulations or rules in
your jurisdiction, including, but not limited to:
o
legal capacity and any other applicable legal requirements in your jurisdiction
for
purchasing Tokens, using Tokens, and entering into contracts with us,
o
any foreign exchange, regulatory or import/export restrictions applicable to
such purchase, and
o
any governmental or other consents that may
need to be obtained;
l.
You hereby certify that you are not a Restricted Person;
m.
You are not resident or domiciled in a jurisdiction prohibiting its residents or
domiciles from participating in or purchasing tokens or coins in token sales
(whether referred to as “Initial Coin Offerings,” “ICOs” or otherwise);
n.
If you are purchasing Tokens on behalf of any entity,
o
you are authorized to accept these T&Cs and to act on such entity’s behalf,
o
such entity will be responsible for breach of these T&Cs by you or any other
employee or agent of such entity (references to “you” in these T&Cs refer to
you and such entity, jointly), and
o
such entity (i) is duly organized and validly existing under the applicable laws
of the jurisdiction
of its organization; and (ii) is not a Restricted Person.
o.
You will not use Tokens or the Platform in connection with any activity that
violates applicable laws in any relevant jurisdiction, including, but not limited to,
use of Tokens or the Platform in connection with transactions that violates
applicable law;
p.
You will at all times maintain control of your Purchaser Wallet, and you will not
share or disclose the account credentials associated with your Purchaser Wallet with
any other party. If you transfer Tokens from your Purchaser Wallet into another
wallet or vault, you will likewise at all times maintain control of such other wallet
or vault, and you will not share or disclose the account credentials associated with
such other wallet or vault with any other party;
q.
You will comply with all applicable tax obligations in your jurisdiction arising from
your purchase of Tokens;
r.
You will provide to the Company and/or CoinList with such AML Info as they may
require, with your information as of the date of your response, together with any
supporting identification documentation, as they may require and deliver it to them
before you may be eligible to purchase the Tokens. You also agree to provide the
Company and/or CoinList with such documents that they may request in connection
with their compliance requirements with any applicable laws (including, without
limitation, anti-money laundering laws) in order to determine your eligibility; and
s.
You understand
and acknowledge that title to, and risk of loss of, Tokens you
purchase from Company passes from Company to you in the British Virgin Islands;
t.
You are not a U.S. Person and the Tokens have not and are not being offered to you
in the United States;
u.
You are acquiring the Tokens for your own account and not with a view to resale
or distribution, either directly or indirectly, in the United
States or to or for the
account or benefit of a U.S. Person;
v.
At the time you submitted your purchase order, you (and your authorized signatory,
if applicable) where outside of the United States; and
w.
You are not a party to any contract, undertaking, agreement, or arrangement
