First Notice of Annual Meeting and Election of Directors

Notice is hereby provided that the annual meeting for the purpose of electing the Directors of Biscayne Sea Club, Inc. will be held on Saturday, March 4, 2017, at 10:00 a.m. at Treasure Island Elementary, 7540 East Treasure Drive, North Bay Village, Florida 33141. The purpose of the Meeting is to elect the Board of Directors and to conduct such other lawful business as may come before the meeting.

PLEASE TAKE NOTE OF THE FOLLOWING:
VOTING. The election will be conducted by written ballot. The ballot will be provided in the Second Notice of Meeting. There shall be one (1) vote per unit.

CANDIDATES FOR THE BOARD. Any eligible person desiring to become a candidate for election to the Board shall provide written notice (a form for that purpose is enclosed) to be sent to Biscayne Sea Club, Inc., 8000 East Drive, North Bay Village, Florida 33141, received prior to 5:00 pm on January 23, 2017. The person desiring to be a candidate will receive a written receipt acknowledging delivery of the written notice.
Any candidate may supply a one-sided information sheet, no larger than 8 1/2 x 11 inches in size, describing the candidate's background, education, qualifications and any other factors deemed relevant by the candidate received prior to 5:00 pm on January 28, 2017. The information sheet will be provided to all eligible voters as part of the Second Notice of Meeting.
VOTING CERTIFICATES. A voting certificate is for the purpose of establishing who is authorized to vote for a unit owned by more than one person (even if husband and wife) or a corporation. To be valid, a voting certificate must be signed by ALL OWNERS. A voting certificate is enclosed and should be completed and returned to the Association at the following address not later than March 4, 2017: Biscayne Sea Club, Inc., 8000 East Drive, North Bay Village, Florida 33141.
PROXIES. A proxy has been included for quorum purposes for the Annual Meeting. The proxy cannot be used in the election, it is only for quorum purposes. Please complete and return it to the Association’s Management Office or bring it to the meeting.
POSTING. This notice has also been posted on the property in accordance with the requirements of the Bylaws and Florida law.

NOTICE OF INTENT TO BE A CANDIDATE

FOR THE BOARD OF DIRECTORS OF
BISCAYNE SEA CLUB, INC.

I,_______________________________, Owner of Unit No.________ hereby request that my name be placed in nomination and appear on the ballot as a candidate for the Board of Directors for the forthcoming Association Election Meeting to be held on March 4, 2017. This Notice of Intent shall be received by the Association by 5:00 pm on January 23, 2017. (See the attached Notice for further instructions.) In accordance with Florida Law, all candidates must be eligible to serve on the Board of Directors no later than January 23, 2017, in order to be listed on the ballot.

(II) Unit owned by Overseas, Inc., a corporation. Voting Certificate must be filed designating person entitled to vote, signed by President or Vice President of Corporation and attested by Secretary or Assistant Secretary of Corporation.
(III) Unit owned by John Jones. No voting certificate required but requested for signature verification.
This Certificate is made pursuant to the By-Laws and shall revoke all prior Certificates and be valid until revoked by a subsequent Certificate.
